The partnership between Robert De Niro and Martin Scorsese has resulted in some of the most highly acclaimed films in Hollywood history, earning them both widespread critical acclaim. But do you know which movie marked the beginning of a groundbreaking collaboration that ultimately led to their success in the entertainment industry?
Robert De Niro was nominated for Best Supporting Actor
Well, it was none other than the 1973 crime drama Mean Streets that has been deemed as culturally, historically, or aesthetically significant to this date. De Niro’s portrayal of Johnny Boy Civello earned him high praise and accolades. However, all this might not have been possible, and this movie would have looked significantly different if De Niro had made a different decision.

The grandchildren of Walt Disney and Roy O. Disney are voicing their support for Bob Iger in his board seat battle against Nelson Peltz.
Two separate letters were sent to shareholders Thursday from each set of grandchildren, including Abigail Disney, who has been outspoken against recent Disney practices.
In the letter from grandchildren of Roy O. Disney, which is signed by Abigail and three others, the grandchildren outline the “magic” they experienced at the company throughout their childhoods, and say that Iger can continue that spirit at the company. Meanwhile, they call Peltz one of the “wolves in sheep’s clothing” and also one of the “villains” in a Disney story.
“Bob Iger, his management team, and the Board of Directors are faithful to this magic. They understand that the longevity of The Walt Disney Company isn’t only the result of smart business decisions; it is rooted in the...

Should Disney release AI-generated Hollywood movies to realize its true shareholder value?
A technology “vision” statement from Blackwells Capital — an activist firm run by Jason Aintabi campaigning for board seats at Disney’s annual meeting set for April 3 — asks the studio to take advances in artificial intelligence seriously.
“Disney should be dominating in the fields of spatial computing and AI (artificial intelligence). Few companies have the potential of Disney to synthesize these revolutionizing technologies, and relate them to consumers with the impact, and Roi, that Disney can. Spatial computing has far more relevance to Disney than it does to either Apple or Meta, for example,” Aintabi said in a “Vision for the Future of Technology at Disney” strategic plan released Monday.
Also Monday, Disney’s board of directors gave investors an update on meeting strategic priorities in a letter to shareholders. “The board has been laser-focused on a strategy that will drive shareholder value.

Disney touted its latest financials, a dividend hike and projects around sports, Fortnite and Taylor Swift as it urged stockholders to elect its board candidates at the upcoming annual meeting — not directors nominated by activist investors that it says will gum up the works as management

“Disney’s Board of Directors urges shareholders to protect their investment and the future of the Company by voting the White proxy card for only Disney’s 12 nominees and not the Trian Group or Blackwells nominees at the 2024 annual meeting” to be held virtually on April 3.
Trian is nominating its founder and CEO Nelson Peltz as well as former Disney executive Jay Rasulo to the board. Blackwells has three nominees. The number of directors is fixed at 12. Candidates with the most votes win.

After Disney delivered strong quarterly earnings results, including cutting streaming losses and reaffirming a profitable streaming business this summer, CEO Bob Iger said the “last thing” the company needs is activist investors like Nelson Peltz interfering in the business.
In an interview on CNBC Wednesday after Disney reported its first-quarter earnings, Iger was asked if the positive results would assuage the concerns of Peltz, who is trying to nominate his own board members to the Disney due to what he says is the company’s lagging stock performance and a push for the company to achieve “Netflix-like margins.”
Iger said that when he returned to the company it faced “considerable challenges,” including a streaming business that had “no path to profitability” and a “questionable balance sheet” with no ability to increase dividends or do stock buybacks. But he said patience, and a great team, have been key to turning...

Updated: For nearly 40 years, the Walt Disney Co. has largely been seen as an invincible force in the business of entertainment.
Sure, the Mouse House has had its good and not-so-good years at the box office and in TV viewership rankings. But with one major exception, in 2004, the company’s status as a high-performing pillar among the world’s largest media companies has rarely been questioned. That changed last year when activist investor Nelson Peltz, chairman of Trian Fund Management, decided to take aim at Disney.
Trian and rival firm Blackwells Capital have launched dueling PR campaigns and proxy fights to prod Disney to make changes to its corporate governance and long-term strategy. Both efforts are highly unlikely to achieve their stated goals of forcing new board members on Disney through the shareholders vote at the company’s April 3 annual meeting. Disney will unveil fiscal first-quarter financials after market close Wednesday – but this isn’t any earnings report. It’s one that comes with two separate activist shareholders lobbying aggressively to push new directors onto the company’s board because the stock has lagged and, they say, Disney hasn’t made any big moves to create value.
One potential game changer came late yesterday with Disney, Warner Bros. and Fox announcing the launch of a new sports streaming joint venture pooling the sports rights of three big media companies. That will generate a lot of conversation on Disney’s earnings call — but is it enough for Nelson Peltz to back off? He retreated from a proxy fight a year ago, but Disney’s stock was higher then.
The shares are trading at $99 — up nicely from a 52-week low of $79, but still down significantly from a year high of over $118.

Should The Walt Disney Co. put all of its real estate holdings into a Reit (a “real estate investment trust”)? Should the company pour resources into virtual reality and artificial intelligence?
Blackwells Capital thinks so.
While Disney is responding to an activist investor fight from Nelson Peltz and his Trian Partners, it also fending off another push for board seats from a smaller activist firm: Blackwells Capital, run by Jason Aintabi. Blackwells filed its proxy statement Tuesday, and also included a whitepaper proposing some ideas to “transform” the company.
Disney has already urged its shareholders not to vote for Trian’s nominees Peltz and James Rasulo, and urged a vote against Blackwells nominees Leah Solivan, Jessica Schell, and Craig Hatkoff (it recruited Donald Duck’s uncle Professor Ludwig Von Drake in the fight).

Blackwells Capital today made its fight with Disney official, urging shareholders in a definitive proxy statement to elect its three nominees to the board of directors “as the company navigates through a vast and novel opportunity set offering a near limitless potential.”
“The purpose of our campaign is simple: we want to ensure that Disney has the right collection of minds around the boardroom table, working constructively together to make decisions that will benefit All shareholders for decades to come,” Blackwells said. The firm is opposed to Nelson Peltz, whose Trian Partners is also taking on the Disney board in what is officially now a three-way fight. Disney, assailed by activist investors, launched a new website today called VoteDisney with a video featuring Donald Duck’s uncle and other animated creatures telling shareholders what to do to keep the company’s board of directors intact, and showing them how to do it.

Disney is calling on Professor Ludwig Von Drake as a reinforcement in its board battle against Nelson Peltz and his Trian Partners.
The media and entertainment giant released an animated video Monday urging shareholders to vote, but only for the company’s preferred board members. The Austrian duck, who is uncle to Donald and an expert on many subjects in the Disney universe, guides the shareholders through the voting process that kicks off ahead of the April 3 shareholder meeting.
In the video, which also pulls in other classic Disney animation and the muses from Hercules, the voiceover repeatedly emphasizes the company’s preferred method of voting, which involves selecting its 12 nominees who appear on a white proxy card, while suggesting that voting any other way is incorrect.

The Walt Disney Co.’s board battle with Nelson Peltz and his Trian Partners now has an end date: April 3, 2024.
That’s the day that Disney has scheduled its annual shareholder meeting, in which Peltz’s Trian and another activist Blackwells Capital have submitted their own names to join Disney’s board.
Trian is targeting Disney directors Michael B.G. Froman and Maria Elena Lagomasino, and recommending Peltz and former Disney CFO Jay Rasulo. Blackwells is nominating Craig Hatkoff, Jessica Schell and Leah Solivan.
Disney’s proxy is largely the same as the preliminary version of the filing last month, which included CEO Bob Iger’s 2023 pay package of $31.6 million, as well as a formal rejection of the Trian nominees.
Now that Disney has set April 3 as the meeting date, the company — and Trian and Blackwells — will have a little over two months to make their respective cases to shareholders.

The Walt Disney Co. has come out in defense of its “highly qualified board and clear strategy” for growth and share price gains as activist investment firm Trian Capital issued its latest attacks on the company.
The company also disclosed the date of its annual shareholder meeting, which could see bigger sparks fly over the media giant’s direction in two decades. The gathering will be held April 3 and will be virtual, a change from the in-person meetings convened by Disney in a rotating series of cities around the U.S. in a longstanding tradition.
Trian, co-founded by Nelson Peltz, has aligned with former Marvel boss Ike Perlmutter in an attack on Disney’s stagnating stock price. Peltz has criticized Disney management, including CEO Bob Iger, and Trian has recommended shareholders withhold support of two of Disney’s board nominees and instead put Peltz and ex-Disney CFO Jay Rasulo on the 12-member board.

Nelson Peltz’s battle to join the Disney board has crossed another crucial step.

Trian argues against voting for Froman “because he has no experience as a public company director outside of Disney and has spent most of the past 25 years of his career in fields which appear largely unrelated to Disney’s businesses: working as a federal trade representative, a national security advisor, and a financial executive.”

Tribeca is getting into the film distribution game — again. The organization, founded by Robert De Niro, Jane Rosenthal, and Craig Hatkoff, is launching a film distribution label called Tribeca Films that aims to acquire and distribute independent films from across the festival circuit.
Tribeca Enterprises announced today that it is partnering with digital distribution company Giant Pictures on the label and will launch ahead of the Tribeca Film Festival this June. The label intends to acquire 25 titles per year from festivals like Sundance, Berlin, SXSW, Cannes, TIFF, and (of course) Tribeca.
It will kick off with six new films to be announced this spring, and the label is targeting feature-length narrative, documentary, and animated films with digital rights available for U.S. audiences.

Blackwells Capital, a Disney shareholder with plenty of opinions about who should sit on the company’s board of directors, blasted the rival Trian Group for its own board maneuvering.
In a press release Monday, Blackwells Chief Investment Officer Jason Aintabi said Trian co-founder Nelson Peltz has come up short in terms of suggesting ways for the media giant to right its ship. Trian, which owns about $3 billion in Disney stock, last week formally initiated a proxy war with Disney by nominating Peltz and former Disney CFO Jay Rasulo to the board. The firm plans to solicit support from a shareholder base that it believes has grown restless over the company’s lackluster stock performance.
Trian has attacked Disney’s path under CEO Bob Iger, who returned to the top exec role in November 2022 in a bid to shore up the company after it slipped under his hand-picked successor, Bob Chapek.

As promised, Trian Partners, the hedge fund led by activist investor Nelson Peltz, officially submitted its preliminary proxy statement for the election of Peltz and former Disney CFO Jay Rasulo to Disney’s board at the Mouse House’s 2024 annual shareholders meeting.
In its filing Thursday, Trian also outlined its goals and initial perspectives for Disney regarding corporate governance, streaming profitability — to “target and achieve Netflix-like margins” of 15%-20% by fiscal year 2027 — as well as ESPN, studio creativity, and growth in Disney’s Parks and Experiences unit. It’s all intended, according to the company, to “#RestoreTheMagic” at the media conglomerate.
But the key question is: Can Nelson Peltz get the backing of enough Disney shareholders to succeed in shaking up the board and challenging CEO Bob Iger for the future direction of the company?

The Trian Group’s Nelson Peltz has formally asked Disney shareholders to elect himself, as well as former Disney executive Jay Rasulo, to the company’s board of directors at the annual meeting this spring.
The activist investor, who is allied with Ike Perlmutter, holds a war chest of about $3 billion- worth of Disney stock.
Trian, in its own proxy statement today that followed Disney’s earlier this week reiterated complaints about Bob Iger’s leadership and Disney “significantly underperformed its peers and its potential.”
The fund also asked shareholders to withhold votes for three nominees put forward by another activist investor, Blackwells — Craig Hatkoff, Jessicasl Schell, and Leah Solivan. It said “they don’t have the same level of relevant experience or qualifications as the Trian Nominees.”
Disney believes all five nominees — Trian’s and Blackwells — are unqualified.
The company said Tuesday that Peltz “had not actually presented a single strategic idea for Disney.

Disney CEO Bob Iger’s compensation totaled about $31.6 million for the company fiscal year ended Sept. 30. It includes most of the year. Iger returned to lead Disney in November of 2022.
In a preliminary proxy statement filed with the SEC this afternoon, Disney also alerted shareholders to an upcoming annual meeting but didn’t provide the date, which will be forthcoming. The event looks set to be the scene of a nasty proxy battle with two sets of activist investors looking to seat outside directors on the board.
Disney said in the filing, emphasized in separate press release, that it does not endorse the nominations of Nelson Peltz and James Rasulo put forth by Trian Fund Management, led by Peltz and backed by former Disney executive and shareholder Ike Perlmutter. Nor does the company endorse the nominations of Craig Hatkoff, Jessica Schell and Leah Solivan put forth for election as directors by another activist fund,...

Disney CEO Bob Iger saw his compensation hit $31.6 million in 2023 — down from $45.9 million in 2021, his last prior full year of employment at the company.
Iger’s 2023 pay package included $865,385 in base salary, plus 16.1 million in stock awards, $10 million in stock-option awards, $2.14 million cash bonus and $2.48 million in other compensation, according to the company’s proxy statement filed Tuesday with the SEC. His contract with Disney runs through the end of 2026.
Iger was Disney CEO from 2005-20 and served as executive chairman of the company through the end 2021. He returned as interim CEO after the ouster of Bob Chapek — who had been Iger’s hand-picked successor — in November 2022. For 2023, Chapek received total compensation from Disney of $9.94 million.
Also Tuesday, Disney’s board of directors disclosed its recommended slate of 12 nominees for election at the 2024 annual meeting of shareholders (with the date Tba) in the preliminary proxy materials. The board officially rejected...

“You broke my heart.”
That’s what former Marvel Entertainment chairman and CEO Ike Perlmutter said to Bob Iger, according to The Wall Street Journal, when Iger made it clear in 2015 that he was not going to name veteran Disney executive and Perlmutter favorite Jay Rasulo as his eventual successor. (He anointed Tom Staggs instead, and Staggs was out the following year. Being a potential successor was hazardous duty at Disney, at least in those days.)
Iger’s relationship with Perlmutter went sharply downhill from there and last March, after incrementally stripping Perlmutter of his duties at Marvel, Iger ejected the contentious billionaire from the company altogether. Even before that happened, Perlmutter had backed his friend and Palm Beach neighbor, Nelson Peltz, in his quest for a seat on Disney’s board, which Peltz and Perlmutter argue is too cozy with Iger to be effective.

It’s getting complicated — and crowded — in the conference rooms at Cinderella’s Castle.
Everyone has new board members for Disney, it seems. Billionaire Nelson Peltz and his Trian Fund Management have certainly made known their opinion on Disney CEO (and board member) Bob Iger’s leadership. Tl;Dr, it’s not positive. This morning, two new activist investors entered the chat.
Iger’s got friends in high places at ValueAct Capital Management and activist hedge fund Blackwells Capital; both stepped up to bat for Bob on Wednesday. In a filing with the Securities & Exchange Commission, ValueAct says it will support the current Disney Board of Directors’ 2024 nominees for the board seats. Iger returned the compliment.
“ValueAct Capital has a track record of collaboration and cooperation with the companies it invests in, and its Co-CEO Mason Morfit has been very constructive in the conversations we’ve had over the past year,...

In the latest turn in a pitched activist investor battle, Disney secured the backing of shareholder and Mason Morfit-led firm ValueAct Capital Management as CEO Bob Iger looks to fend off a challenge from an activist investor, a former Disney CFO and an ousted Marvel mogul. Meanwhile, other investment firms are circling with their own opportunistic moves ahead of the yet-to-be-scheduled shareholder meeting.
Disney and ValueAct have entered into a “confidentiality agreement that enables the company to provide information to the investment firm and consult with ValueAct on strategic matters, including through meetings with the Disney board and management,” the company said Wednesday.
